Terms of Service

These Terms of Service ("Terms") govern access to and use of the websites, software applications, platforms, tools, artificial intelligence features, automation systems, and related services developed, owned, or operated by JDRIQ, Inc. ("JDRIQ," "Company," "we," "us," or "our").
By creating an account, purchasing access to a JDRIQ application, accessing or using a JDRIQ application, or otherwise using our services, you agree to these Terms.
If you access or use a JDRIQ application on behalf of a company, organization, or other business entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you and that business entity.
1. About JDRIQ
JDRIQ develops proprietary software applications designed to help businesses improve, simplify, automate, analyze, or manage business processes.
JDRIQ independently identifies business needs and opportunities and develops applications that it believes may provide value to businesses and business professionals.
JDRIQ does not provide custom software development under these Terms.
Customers are purchasing or receiving the right to access and use applications developed and owned by JDRIQ.
The availability, functionality, features, pricing, and intended use of each JDRIQ application may vary.
2. Business Use
JDRIQ applications are primarily intended for business and professional use.
You are responsible for determining whether a JDRIQ application is appropriate for your organization and for how your organization uses information, recommendations, automation, data, or other output produced through the application.
Use of a JDRIQ application does not create an employment, consulting, partnership, fiduciary, franchise, agency, or joint venture relationship between you and JDRIQ.
3. User Accounts
Certain JDRIQ applications require you to create and maintain a user account.
You agree to provide accurate information when creating your account and to keep that information reasonably current.
You are responsible for:
- Maintaining the confidentiality of your username and password;
- Protecting account credentials;
- Restricting unauthorized access to your account;
- Activities performed through your account;
- Ensuring authorized users comply with these Terms; and
- Promptly notifying JDRIQ if you believe your account has been compromised.
You may not share login credentials with unauthorized individuals or permit individuals who have not been authorized to access a JDRIQ application through your account.
JDRIQ may establish limits on the number of users, devices, locations, records, searches, transactions, storage, API calls, or other usage associated with a particular account or service plan.
4. License to Use JDRIQ Applications
Subject to your compliance with these Terms and payment of any applicable fees, JDRIQ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the applicable JDRIQ application for your legitimate internal business purposes.
This is a license to use JDRIQ software.
It is not a sale or transfer of ownership.
All rights not expressly granted to you remain with JDRIQ.
5. Ownership of JDRIQ Technology
JDRIQ retains all right, title, and interest in and to its applications and technology, including:
- Source code;
- Object code;
- Software architecture;
- Algorithms;
- Artificial intelligence implementations;
- Automation systems;
- Databases and database structures;
- User interfaces;
- Designs;
- Dashboards;
- Reports and report structures;
- Workflows;
- Business processes embodied in the software;
- Software concepts;
- Application features;
- Documentation;
- Trademarks;
- Logos;
- Product names;
- Proprietary methods;
- Know-how;
- Improvements;
- Updates;
- New versions; and
- Related intellectual property.
Your use of a JDRIQ application does not give you ownership of the software or any underlying JDRIQ technology.
6. Customer Data
As between you and JDRIQ, you retain ownership of business data, information, documents, records, images, files, or other content that you submit to a JDRIQ application ("Customer Data").
You grant JDRIQ permission to host, process, transmit, reproduce, and otherwise use Customer Data to the extent reasonably necessary to:
- Provide the application;
- Operate application functionality;
- Store your information;
- Generate requested results;
- Maintain the service;
- Provide customer support;
- Protect the security of the application;
- Diagnose technical problems; and
- Improve reliability and performance.
You represent that you have the legal authority and appropriate rights or permissions necessary to submit Customer Data to the application.
You are responsible for the accuracy, quality, legality, and appropriateness of Customer Data submitted through your account.
7. Confidentiality of Business Information
JDRIQ recognizes that customers may use its applications with non-public business information.
JDRIQ will use reasonable measures to protect confidential customer information in its possession.
Customers are responsible for determining whether a particular application is appropriate for the type of information they intend to enter into it.
Unless expressly approved by JDRIQ for a particular application, you should not enter information subject to specialized legal or regulatory security requirements if the application is not specifically designed to handle that information.
8. Artificial Intelligence and Automated Features
Some JDRIQ applications may incorporate artificial intelligence, machine learning, automated analysis, data processing, or third-party AI technology.
Artificial intelligence and automated systems may occasionally produce results that are inaccurate, incomplete, outdated, misleading, or otherwise incorrect.
AI-generated or automatically generated information should not automatically be treated as verified fact.
You are responsible for reviewing and validating important outputs before making significant business decisions based on them.
JDRIQ does not guarantee that AI-generated results will be accurate, complete, or suitable for a particular business decision.
9. No Custom Development Obligation
JDRIQ develops and controls its own applications and product roadmap.
Customers may provide suggestions, ideas, requests, or feedback regarding existing or potential functionality.
However, JDRIQ is under no obligation to:
- Develop a requested feature;
- Customize an application for a particular customer;
- Modify an application's workflow;
- Add a particular integration;
- Continue offering a particular feature;
- Follow a customer's suggested development schedule; or
- Develop an application specifically for a customer's business.
Any decision to develop, modify, improve, expand, or discontinue functionality remains solely with JDRIQ unless otherwise agreed in a separate written agreement.
10. Feedback and Suggestions
If you voluntarily provide JDRIQ with ideas, recommendations, suggestions, enhancement requests, feature requests, or other feedback relating to its products or services, you grant JDRIQ the right to use that feedback without restriction or compensation to you.
Providing feedback does not give you ownership rights in any application, feature, product, improvement, or technology subsequently developed by JDRIQ.
11. Application Changes and Updates
JDRIQ applications will evolve over time.
JDRIQ may add, modify, improve, replace, redesign, limit, or discontinue features or functionality.
JDRIQ may also release updates, patches, upgrades, new versions, or replacement products.
JDRIQ does not guarantee that every feature available at one point in time will remain permanently available.
Where reasonably practical, JDRIQ may provide notice of material changes that substantially affect paid users, but JDRIQ reserves the right to make immediate changes when necessary for security, legal compliance, technology changes, system reliability, or other legitimate operational reasons.
12. Third-Party Services
JDRIQ applications may use or connect with third-party services, including:
- Cloud hosting services;
- Mapping platforms;
- Artificial intelligence providers;
- Email services;
- Payment processors;
- Data providers;
- APIs;
- Authentication providers;
- Database services;
- Analytics platforms;
- Communications providers; and
- Other business technology.
Third-party products and services are controlled by their respective providers.
JDRIQ does not control and cannot guarantee the continued availability, functionality, pricing, accuracy, security, or compatibility of third-party services.
A third-party provider may change or discontinue its service, API, pricing, functionality, or terms.
These changes may affect functionality within a JDRIQ application.
JDRIQ may modify or discontinue integrations when reasonably necessary.
13. Third-Party Data
Certain JDRIQ applications may provide information obtained from public sources, licensed databases, APIs, third-party data providers, or other external sources.
JDRIQ does not guarantee that third-party information is complete, current, or accurate.
For example, business names, addresses, ownership information, contact information, location information, operating status, or other business data may change without notice.
Users should independently verify information when accuracy is important to a business decision.
14. Fees and Payment
Certain JDRIQ applications may require payment.
Pricing, billing frequency, account limits, included functionality, and other commercial terms will be disclosed when you purchase or subscribe to the applicable service.
You agree to pay all fees associated with your account in accordance with the pricing and payment terms presented to you.
You are responsible for applicable taxes unless JDRIQ is legally required to collect them.
JDRIQ may suspend or terminate paid services when required payments are past due.
Additional services, account capacity, users, features, usage, or functionality may be subject to additional charges.
15. Subscription Services
If a JDRIQ application is offered on a subscription basis, your access will continue for the applicable subscription period subject to the payment and cancellation terms presented when you subscribe.
Specific subscription terms, including billing frequency, renewal terms, cancellation procedures, and applicable fees, may be displayed during registration, checkout, or within your account.
If product-specific subscription terms conflict with these Terms regarding billing for that product, the product-specific terms will control for that billing issue.
16. Acceptable Use
You agree not to use JDRIQ applications to:
- Violate applicable law;
- Commit or facilitate fraud;
- Infringe intellectual property rights;
- Obtain unauthorized access to accounts or computer systems;
- Distribute viruses, malware, ransomware, or malicious code;
- Interfere with the operation of JDRIQ systems;
- Circumvent security or account limitations;
- Use automated methods to overload or disrupt JDRIQ infrastructure;
- Impersonate another person or organization;
- Process information you have no legal right to possess or use;
- Engage in unlawful surveillance;
- Conduct unlawful discrimination;
- Harass or threaten others;
- Facilitate illegal activity; or
- Use the application in a manner materially inconsistent with its intended business purpose.
JDRIQ may investigate suspected misuse and may restrict or suspend access when reasonably necessary to protect JDRIQ, its customers, third parties, or the integrity of its systems.
17. Restrictions
Unless JDRIQ expressly authorizes it in writing, you may not:
- Copy a JDRIQ application;
- Reproduce its source code;
- Reverse engineer the software;
- Decompile the software;
- Attempt to discover underlying source code;
- Sell or resell access;
- Rent or lease access;
- Sublicense the software;
- Create unauthorized derivative products;
- Circumvent technical limitations;
- Remove proprietary notices;
- Copy significant portions of the user interface;
- Use JDRIQ intellectual property to develop a directly competing product; or
- Permit unauthorized third parties to access your account.
Nothing in this section restricts rights that cannot legally be restricted under applicable law.
18. Security
JDRIQ may use reasonable administrative, technical, and organizational safeguards designed to protect its systems and information.
However, no online service, network, cloud platform, database, or electronic transmission can be guaranteed to be completely secure.
Customers are responsible for maintaining appropriate security procedures for systems and devices under their control.
You must promptly notify JDRIQ if you reasonably believe your account or credentials have been compromised.
19. Availability
JDRIQ works to provide reliable access to its applications but does not guarantee uninterrupted or error-free operation.
Applications may occasionally be unavailable because of:
- Maintenance;
- Software updates;
- Technical failures;
- Internet disruptions;
- Cloud provider outages;
- Third-party service failures;
- Security incidents;
- Infrastructure changes;
- Events beyond JDRIQ's reasonable control; or
- Other operational reasons.
Temporary interruptions do not constitute a breach of these Terms unless otherwise expressly agreed in writing.
20. Support
JDRIQ may provide customer support for its applications.
The level, method, availability, and response time of support may vary by application or service plan.
Unless expressly agreed otherwise, customer support does not include custom programming or development of customer-requested functionality.
21. No Guarantee of Business Results
JDRIQ creates applications intended to help businesses work more efficiently, automate processes, identify opportunities, organize information, or otherwise improve business operations.
However, JDRIQ does not guarantee any specific business outcome.
JDRIQ does not guarantee that use of its applications will:
- Increase revenue;
- Increase profits;
- Generate customers;
- Generate sales;
- Generate leads;
- Reduce operating expenses;
- Eliminate labor requirements;
- Produce a specific return on investment;
- Identify every available business opportunity;
- Produce completely accurate information;
- Increase employee productivity by a particular amount; or
- Achieve any other specific financial or operational result.
Business outcomes depend on numerous factors outside JDRIQ's control.
22. User Decisions
JDRIQ applications are tools intended to assist businesses.
You remain responsible for decisions made using information obtained through a JDRIQ application.
JDRIQ is not responsible for business decisions made solely or primarily in reliance on application outputs when independent review or professional judgment would reasonably be appropriate.
23. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JDRIQ APPLICATIONS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
JDRIQ DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED IN WRITING, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
JDRIQ DOES NOT WARRANT THAT:
- AN APPLICATION WILL ALWAYS BE AVAILABLE;
- AN APPLICATION WILL BE COMPLETELY ERROR-FREE;
- ALL INFORMATION WILL BE ACCURATE;
- ALL DATA SOURCES WILL REMAIN AVAILABLE;
- EVERY FEATURE WILL CONTINUE INDEFINITELY;
- THIRD-PARTY SERVICES WILL CONTINUE TO FUNCTION;
- AN APPLICATION WILL MEET EVERY CUSTOMER'S INDIVIDUAL REQUIREMENTS; OR
- USE OF AN APPLICATION WILL PRODUCE A PARTICULAR BUSINESS RESULT.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JDRIQ, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF A JDRIQ APPLICATION.
THIS INCLUDES, WITHOUT LIMITATION, CLAIMS FOR:
- LOST PROFITS;
- LOST REVENUE;
- LOST BUSINESS OPPORTUNITIES;
- LOSS OF GOODWILL;
- BUSINESS INTERRUPTION;
- LOSS OR CORRUPTION OF DATA; OR
- DECISIONS MADE BASED ON APPLICATION OUTPUT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JDRIQ'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PAID JDRIQ APPLICATION WILL NOT EXCEED THE AMOUNT YOU PAID TO JDRIQ FOR THAT APPLICATION DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
FOR A FREE APPLICATION, JDRIQ'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100), TO THE MAXIMUM EXTENT PERMITTED BY LAW.
These limitations apply regardless of the legal theory asserted and to the fullest extent permitted by applicable law.
25. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless JDRIQ, Inc., its officers, directors, employees, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable expenses arising from or related to:
- Your misuse of a JDRIQ application;
- Customer Data submitted through your account;
- Your violation of applicable law;
- Your infringement of third-party rights;
- Unauthorized activity performed through your account where caused by your failure to reasonably protect your credentials; or
- Your material violation of these Terms.
26. Suspension of Access
JDRIQ may temporarily suspend or restrict access to an account when reasonably necessary because of:
- Nonpayment;
- Suspected fraud;
- Security concerns;
- Illegal activity;
- Abuse of the application;
- A material violation of these Terms;
- Threats to JDRIQ infrastructure;
- Unauthorized account access; or
- Circumstances requiring immediate action to protect JDRIQ or other users.
Where appropriate, JDRIQ may provide the customer an opportunity to resolve the issue.
27. Termination
You may stop using a JDRIQ application at any time, subject to any applicable subscription, payment, or cancellation terms.
JDRIQ may terminate an account or access to an application for material violation of these Terms, unlawful activity, nonpayment, misuse, or other circumstances permitted under these Terms.
Upon termination, your license to use the applicable JDRIQ application ends.
Termination does not eliminate payment obligations incurred before termination.
Sections relating to intellectual property, ownership, confidentiality, payment obligations, warranty disclaimers, limitation of liability, indemnification, dispute provisions, and other provisions that logically should survive will survive termination.
28. Account and Data After Termination
Upon cancellation or termination, access to Customer Data stored within an application may end.
Customers are responsible for exporting or retaining information they need before terminating an account when export functionality is available.
JDRIQ may establish reasonable data-retention and deletion practices and may delete information associated with terminated accounts following applicable retention periods, subject to legal requirements and JDRIQ's Privacy Policy.
29. Force Majeure
JDRIQ will not be responsible for delays, interruptions, or failures caused by circumstances beyond its reasonable control.
Such circumstances may include natural disasters, severe weather, government actions, war, terrorism, civil unrest, utility failures, internet outages, telecommunications failures, cloud service outages, third-party platform failures, cyberattacks, labor disruptions, or other similar events.
30. Privacy
Use of JDRIQ websites and applications is also subject to the JDRIQ Privacy Policy.
The Privacy Policy describes how JDRIQ may collect, use, store, and otherwise process information associated with its websites and applications.
31. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Subject to applicable law, disputes relating to these Terms or JDRIQ services will be brought in a court of competent jurisdiction located in North Carolina unless JDRIQ and the customer agree in writing to another dispute-resolution procedure.
32. Electronic Agreement
By creating an account, checking a box indicating acceptance, purchasing access, or accessing or using a JDRIQ application after being presented with these Terms, you acknowledge your agreement to these Terms.
Electronic acceptance may have the same effect as acceptance of a written agreement to the extent provided by applicable law.
33. Changes to These Terms
JDRIQ may update these Terms periodically to reflect changes to its applications, services, business practices, or legal requirements.
When these Terms are updated, JDRIQ will update the Effective Date displayed at the beginning of the Terms.
Material changes may also be communicated through the application, account interface, email, website, or another reasonable method.
Continued use of a JDRIQ application following the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.
34. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
35. No Waiver
JDRIQ's failure to enforce a provision of these Terms does not waive its right to enforce that provision later.
36. Assignment
You may not transfer or assign your account, license, or rights under these Terms without JDRIQ's prior written consent.
JDRIQ may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or similar business transaction.
37. Entire Agreement
These Terms, together with the JDRIQ Privacy Policy and any product-specific purchase, subscription, or licensing terms presented to you, constitute the agreement governing your use of JDRIQ applications.
If product-specific terms conflict with these Terms, the product-specific terms will control solely with respect to the applicable product and the specific subject addressed by those terms.
